MEMBER ACKNOWLEDGEMENT

I (“Member”) agree that my membership in Multnomah Whiskey Library (“MWL”) is governed by this Membership Agreement (this “Agreement”) and the MWL rules and policies. I am responsible for reading and understanding any revised Agreement or MWL rules and policies as they may be posted in the online member portal or otherwise provided to me in writing from time to time. As used in this Agreement, “I” “me” and “my” refers to Member.

In consideration of the mutual covenants set forth in this Agreement, and for other good and valuable consideration, the adequacy of which is hereby acknowledged, Member and MWL (each, a “Party,” or collectively, the “Parties”) agree as follows:

Membership Terms and Conditions
  1. Membership and Benefits. In exchange for Member’s payment of the “Membership Fee” as set forth in Section 2, Member shall be eligible to receive the benefits of MWL’s annual membership as provided herein, subject to the terms and conditions of this Agreement and MWL’s rules and policies as amended from time to time. As a member of MWL, Member will be eligible to receive the following benefits at the MWL premises located at 1124 SW Alder St., Portland, OR 97205 (the “Library”), the MWL premises located at 1122 SW Alder St., Portland, OR 97205 (“The Green Room”) and at the MWL premises located at 616 SW 12th Ave., Portland, OR 97205 (the “Members Lounge”) (the Library, The Green Room and the Members Lounge are collectively, the “Premises”):
    • Subject to availability, ability to make reservations for seating at the Library during MWL’s normal hours of operation, taken on a first-come, first-served basis. MWL will use commercially reasonable efforts to accommodate Member’s reservation request regarding number of guests and requested time.
    • Subject to seating availability, access to the Members Lounge during normal operating hours on a first-come, first-served basis (i.e., no reserved seating).
    • Subject to availability, access to members-only events and priority access and discounts to MWL events.
    • Subject to availability, the ability to nominate members to skip the waiting list and join a shortlist for membership.
    • Access to valet services beginning at 4:00pm (currently complimentary for one (1) car per reservation).
    • Subject to availability, reasonable access to and support from MWL’s management team to assist with any MWL-related needs of the Member, including but not limited to MWL’s events manager.
    • Subject to availability, exclusive access to MWL’s single barrel offerings and other spirits-related benefits, such as complimentary pours and tastings.
    • Member discounts, including discounted room fees for private events.
    • Eligibility to have priority access to MWL’s Tasting Room for hosting private dinners, meetings and educational events, subject to availability.
    • Eligibility to have priority access to spirit locker rental, when available.
    • Eligibility to receive two (2) complimentary Courtesy Reservations each year for a party of up to six (6) non-Members to make a reservation in the Library, subject to availability.
    • Subject to seating availability, eligibility to receive one (1) complimentary drink of Member’s choice on Member’s birthday (up to $20).Member acknowledges and agrees that MWL may, at any time in its sole discretion, change or revoke any of the benefits or privileges associated with an MWL membership in order to comply with applicable laws, rules and regulations, including but not limited to the Oregon Liquor Control Commission (OLCC), and MWL will provide Member written notice of any such changes.
  2. Membership Fees. The fees for an individual, couples and corporate membership as set forth in this Section 1 will be collectively referred to as the “Membership Fee.” The current fee for MWL’s annual individual membership is $825, plus a one-time setup fee for new members in the amount of $249. The initial Membership Fee shall be paid by the Member concurrently with the start of Member’s annual membership (“Effective Date”) and each subsequent Membership Fee shall be paid by the Member on or before the annual anniversary of the Effective Date (the “Renewal Date”) unless Member provides MWL written notice of its intent to not renew as set forth in Section 7. In the event MWL increases the Membership Fee, then such increase shall be effective as of the Member’s subsequent Renewal Date.

    • Couples Membership. Couples memberships are available to both married couples and cohabitated households of couples and domestic partnerships. An individual Member may add Member’s eligible spouse/partner to Member’s membership for an additional annual fee of $175 (prorated based on the Member’s Renewal Date). Upon payment of the additional fee, such spouse/partner shall be a “Member” for purposes of this Agreement and will be subject to the terms and conditions of this Agreement including any increased annual fee. MWL reserves the right to request supporting documentation of eligibility (e.g., proof of mailing address) for a couples membership. Misrepresentation or misuse of the couples membership may lead to termination of membership for both parties. Except as provided in Section 7, the Membership Fee is non-refundable to the extent permitted by applicable law.
    • Corporate Membership. The current fee for MWL’s corporate membership begins at $2,900. Businesses may inquire about corporate memberships by emailing membership@mwlpdx.com or by calling (503) 954-1381. Subject to availability, corporate Members are eligible to receive the following benefits in addition to the benefits set forth in Section 1:
      • Four (4) MWL annual individual memberships (only employees of corporate Member are eligible to hold such memberships). Subject to availability, additional memberships may be requested at an annual rate of $750 per additional corporate membership.
      • The ability to transfer the memberships annually to a new employee upon the Renewal Date.
      • Eligibility to receive six (6) complimentary Courtesy Reservations each membership year for a party of up to six (6) non-members to make a reservation in the Library (subject to availability). No more than two (2) reservations per month will be allowed in November and December. All Hall Passes must be used within the membership year in which they were issued and may not be carried forward to the following membership year.
      • Eligibility to receive event discounts.

    For purposes of this Agreement, a corporate Member, as well as any individual who uses the membership under such corporate Member’s membership, will be considered a “Member.” Any person who uses the privileges and benefits of MWL under a corporate membership must read and agree to the terms and conditions of this Agreement prior to any such use.

  3. Spirit Lockers. Spirit lockers are available on a first-come, first-served basis to current Members. If available, the Member’s individual membership will be upgraded to a spirit locker membership with an annual fee of $1,500 (prorated based on the Member’s Renewal Date). If Member is upgrading a couples membership to a spirit locker membership, Member may add their spouse/partner at no additional charge. If Member has a corporate membership, a spirit locker may be added to such corporate membership for an additional annual fee of $1,000. Once enrolled in a spirit locker membership, Member agrees to comply with applicable laws, rules and regulations, including but not limited to rules and regulations of the Oregon Liquor Control Commission (OLCC). Member agrees that the distilled spirits to be stored in the assigned spirit locker were (or will be) purchased legally under the governing OLCC laws and regulations. Member agrees and acknowledges that only MWL, and no other entity or individual (including Member), shall have custody or control of the key to the spirit locker. Member may obtain access to the spirit locker(s) contents only during the Library’s regular business hours. Once a bottle is opened, it may not be removed from MWL per OLCC regulations. Member agrees that all distilled spirits will be handled and poured by MWL for a service charge of $5 per pour. In the event MWL increases the service charge, then such increase shall be communicated to the Member in writing in advance of such change. MWL requests that Member provides gratuity based on the value of the service and of spirits poured. MWL reserves the right to inspect and access a Member’s spirit locker at any time in its sole discretion without notice to Member.

  4. MWL Rules and Policies. Member agrees that Member’s use and enjoyment of the Premises and Member’s membership benefits are subject at all times to MWL’s rules and policies, which may be amended from time to time in the MWL’s sole discretion. Member agrees to show legal identification as proof of membership upon entrance to the Premises. Misrepresentation or misuse of membership status or identity may lead to termination of membership privileges. MWL’s rules and policies require all Members and their guests to drink responsibly, and prohibit any member, including Member (or any Member guest), from engaging in any conduct that, in the sole judgment of MWL, is detrimental to the welfare, health, safety or reputation of MWL or any guest, customer, member or employee of MWL, which includes but is not limited to:

    • Fighting
    • Irresponsible, unsafe or unlawful use of alcohol
    • Taunting, abusive or offensive language
    • Excessive or habitual rudeness
    • Obscene, lewd or offensive gestures
    • Unlawful possession, use or sale of illegal drugs or controlled substances
    • Aggressive or unwelcome behavior or harassment (sexual or otherwise), or otherwise engaging in any action, on or off the Premises, that may harm, endanger, threaten or bring discomfort to any guest, customer, member or employee of MWL
    • Damage, destruction, vandalism or theft of any property of MWL or any guest, customer, member or employee of MWL
    • Possession of explosives or weapons of any kind, including but not limited to firearms, regardless of whether the person has a concealed weapon permit
    • Violation of law, including any OLCC rule or regulationIn the event Member (or any Member guest) engages in any of the foregoing conduct or fails to abide by any of MWL’s other rules or policies, MWL may, in its sole discretion, remove Member (or any Member guest) from the Premises, prohibit future visits of Member (or any Member guest), suspend Member’s membership privileges, or terminate Member’s membership under Section 7.
  5. Reservation Policy. Reservations for the Library are subject to availability. MWL reserves the right to cancel a reservation for any reason including, but not limited to, restaurant closure or private event. Reservation requests for parties up to five guests can be made online through the member portal with at least 24 hours’ notice. Requests for a reservation, or reservation change, with less than 24 hours’ notice can be made by emailing MWL at info@mwlpdx.com or calling (503) 954-1381. Large party reservations can be made through our Event Manager. Reservation changes are effective upon confirmation from MWL via email or telephone. Member agrees to be present for all reservations made in their name. Member guests will not be seated without the Member present. Reservations will be held for 15 minutes past the scheduled reservation time, then cancelled. Upon arrival, a Member without a reservation will be given priority on the wait list. Members will be added to the wait list on a first-come, first-served basis and wait times may vary. Due to our seating capacity and style of service, reservations will only be held for the original time and original number of guests. Member agrees that arriving with more guests than stated on the original reservation constitutes a cancellation of the original reservation. Members arriving with additional guests will be given priority on the wait list for a space that will seat all guests. Parties may not be divided. MWL reserves the right to request that Members (and Member guests) remain seated throughout their reservation in the Library.

  6. Termination. Member may cancel Member’s membership and immediately terminate this Agreement at any time upon written notice to MWL. If Member wishes not to renew its annual membership, then Member shall provide MWL with written notice at least two (2) weeks prior to any applicable Renewal Date. MWL may immediately terminate this Agreement upon written notice to Member in the event that: (a) Member breaches any term of this Agreement, including but not limited to nonpayment of the Membership Fee; (b) Member (or any Member guest) fails, in MWL’s sole judgment, to abide by any rule or policy of MWL or any term of this Agreement; or (c) Member (or any Member guest), in MWL’s sole judgment, engages in conduct that violates any federal, state or local laws, regulations or rules, including but not limited to regulations or rules of the OLCC. In such instance, MWL shall be under no obligation to return any portion of the Membership Fee.

  7. Disclaimer and Limitation of Liability. Member acknowledges and agrees that it is MWL’s policy to require all Members and guests to drink responsibly, that consuming alcohol is an inherently risky activity, and that Member assumes all risks associated with consuming alcohol while on the Premises. MWL shall have no liability arising directly or indirectly from the Member’s use of the Premises and MWL’s services to the fullest extent permitted by law, except to the extent any such liability arises out of MWL’s acts or omissions. Member agrees that MWL’s liability shall not exceed an amount equal to the annual Membership Fee in effect at the time such liability accrues. MWL SHALL NOT UNDER ANY CIRCUMSTANCES BE LIABLE TO MEMBER, WHETHER IN CONTRACT, TORT OR OTHERWISE, FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES.

  8. Indemnification. Member agrees to indemnify, defend and hold harmless MWL and its subsidiaries and affiliates, and their respective officers, directors, members, agents, employees, successors and assigns, from and against all expenses, damages, claims, suits, losses, actions, judgments, liabilities and costs (including attorneys’ fees) arising out of: (i) any breach of this Agreement by Member; and (ii) the acts or omissions of Member, Member’s spouse/partner (if applicable), and any Member guest.

  9. Privacy Policy. Member acknowledges and agrees that any information submitted by the Member and collected by MWL will be treated in accordance with MWL’s Privacy Policy located at https://mwlpdx.com/wp-content/uploads/2022/09/mwl_privacy-policy_2022.pdf, which may be updated from time to time. MWL will not share or sell Member’s information; please see the Privacy Policy for more details.
  10. Miscellaneous. MWL memberships are non-transferable, and any attempt by Member to transfer its membership to another person shall be null and void. This Agreement shall be governed by and construed under the laws of the State of Oregon. Any dispute arising out of or related to this Agreement shall be submitted to a mutually agreed upon mediator for non-binding confidential mediation in Portland, Oregon. If the dispute cannot be resolved through mediation, it shall be submitted to final, binding and confidential arbitration before ASP in Portland, Oregon before one (1) arbitrator. If the Parties cannot agree on an arbitrator within fourteen (14) days, then the Parties shall request and accept an arbitrator selected by ASP. Each Party shall be responsible for paying its own fees in connection with any mediation or arbitration hereunder. The Parties agree that the procedures outlined herein are the exclusive methods of dispute resolution. This Agreement contains the entire agreement of the Parties, and all other promises, representations, understandings, arrangements and prior agreements related to the subject matter of this Agreement are superseded by the terms of this Agreement. This Agreement may not be modified or amended by any employee of MWL and may only be amended in a written agreement signed by both Parties.

    • I agree that my membership in Multnomah Whiskey Library is governed by this Membership Agreement and the MWL rules and policies. I am responsible for reading and understanding this Agreement and any revised Agreement or MWL rules and policies as they may be posted on www.mwlpdx.com or otherwise provided to me in writing.
    • Reservations in the Library are subject to availability. Member agrees to be present for all reservations made in their name. Member guests will not be seated without the Member present. Walk-in Members will be given priority on the wait list. Please note that you may have to wait to be seated. Reservations will be held for 15 minutes past the scheduled reservation time, then cancelled. Due to our seating capacity and style of service, reservations will only be held for the original time and original number of guests. Members arriving with additional guests will be given priority on the wait list for a space that will seat all guests.
    • MWL rules and policies require all Members and their guests to drink responsibly, and prohibit any member, including Member (or any Member guest), from engaging in any conduct that, in the sole judgment of MWL, is detrimental to the welfare, health, safety or reputation of MWL or any guest, customer, member or employee of MWL, which includes but is not limited to:
      • Fighting
      • Irresponsible, unsafe or unlawful use of alcohol
      • Taunting, abusive or offensive language
      • Excessive or habitual rudeness
      • Obscene, lewd or offensive gestures
      • Unlawful possession, use or sale of illegal drugs or controlled substances
